Transactions that required particular care

Sub-Sale · Leasehold Title · George Town

Challenge

The purchaser had signed a letter of offer on a Georgetown shophouse with a 99-year leasehold title. The title document revealed a restriction in interest requiring state authority consent, and a private caveat registered by a third party whose claim was unclear.

How We Handled It

We identified both issues before the SPA was executed. The caveator was contacted; the caveat was a stale claim that was withdrawn voluntarily after correspondence. The state consent application was filed immediately upon SPA execution and monitored weekly. The purchaser was kept informed at each stage.

Outcome

Transaction completed in approximately six months — longer than a freehold transaction but within the expected range for a leasehold matter with consent. No title issues remained at registration. The purchaser noted that they were not concerned at any stage because the situation was explained clearly and early.

Developer Purchase · Multi-Party · Selangor

Challenge

A Penang-based client was purchasing a condominium unit in Shah Alam jointly with a sibling. Each had a separate bank for their loan contribution. The developer's tripartite arrangement required coordination between two financiers and the developer's appointed solicitor.

How We Handled It

We prepared a document flow chart showing each party's signing requirements and the sequencing of drawdown conditions. Both purchasers received the same written briefing. We managed correspondence with both financiers' appointed solicitors and the developer's panel to ensure conditions were met in the correct order.

Outcome

SPA executed without delay. Loan documentation completed within eight weeks. Vacant possession received at the contracted date. The clients noted that the document flow chart we prepared was the most useful thing they received — they always knew what was still outstanding.

Commercial Acquisition · Industrial Unit · Prai

Challenge

A corporate client was acquiring a light industrial unit through a wholly-owned subsidiary. The title had an existing tenancy with assignment provisions, and the local council records showed a past approval for a specific industrial use category that no longer matched the client's intended operations.

How We Handled It

The zoning and use discrepancy was identified during due diligence. We liaised with the local authority to confirm whether a change of use application would be required and the likely timeline. This information was included in the written due diligence report before the SPA was negotiated, allowing the client to make an informed commercial decision on pricing.

Outcome

The client negotiated a price adjustment and a contractual condition requiring the vendor to resolve the use category prior to completion. The tenancy assignment was managed cleanly alongside the SPA. The client noted that surfacing the use issue before signing — not after — was the clearest demonstration of value throughout the engagement.
